We represents buyers and sellers of companies in private equity transactions.  We also represent the  portfolio companies owned by private equity sponsors in general counsel matters.

For sponsors of private equity tranactions, we assist in acquiring the portfolio company, structuring and negotiating the acquisition and financing documents, developing the capital structure, closing the transaction and establishing the business and legal structure for the new operating company.

For sellers of companies to private equity sponsors, we assist the owners in selling the company, negotiating the term sheet and acquisition documents, preparing disclosure schedules and advising on tax, non-compete and post-closing issues.

For portfolio companies of private equity sponsors and other business enterprises, we provide general counsel services, assisting with contracts, intellectual property management, trademark and copyright acquisition and enforcement, financing and follow-on acquisitions, employment matters and general corporate law.

Representative transactions we have concluded within the past 12 months include the following:

  • An $18 million acquisition of an oilfield services company by a private equity sponsor.
  •  An $11 million acquisition of an offshore marine transportation company by a private equity sponsor
  • A $21 million sale of a conference services company to a private equity backed media company
  • A $3 million sale of a family owned publishing company to a private equity backed publisher of business-to-business magazines.
  • General counsel representation of a large email services company owned by a network of venture capital funds.
